  • A notarized power of attorney if the applicant is an unrelated party, or an unnotarized power of attorney if the applicant is a professional office or an authorized employee registered on the same registration
  • A decision from the company owner / meeting minutes of partners / a decision from shareholders
  • Draft amendment to the memorandum of association/articles of association / declaration of incorporation related to the article/articles to be amended in the attached resolution or minutes of meeting

  • A notarized power of attorney is required if the applicant is unrelated to the Commercial Registration holder, or an unnotarized power of attorney if the applicant is a professional office or an authorized employee registered on the same registration
  • The decision of the owner of the company, or the minutes of the meeting of the partners, or the decision of the shareholders

  • A decision from the company owner / meeting minutes of partners / a decision from shareholders
  • Draft amendment of the memorandum of association / articles of association / declaration of incorporation related to the amendment of the company’s capital clause only
  • Certificate issued by the bank for the amount of the company’s capital increase (if the increase in the company’s capital is cash)
  • Documents of the capital in kind if the increase in the company’s capital is in kind

Application to remove a violation

  • Depending on the type of violation, proof that it has been resolved is required, such as:
  • Photos of the front side of the store
  • Photos from inside the store
  • A photo proving the clear display of prices on the products
  • A copy of store balances
  • Certified pledge approved by the Consumer Protection Directorate
  • A photo of a valid verification sticker for measurement devices

  • Note: In this transaction, if the applicant is a manager or an authorized signatory who is not a partner, a power of attorney must be provided for them to submit the application

  • If the partner is a foreign company, the following must be provided: a decision from the company to either establish a new company or to enter as a partner in establishing a new company, a copy of the company’s Commercial Registration, a copy of the company’s memorandum of association and any other amendments thereto. All these documents must be certified.

Note: If the company to be incorporated is a branch of a foreign company, the following must be provided:

  • A certified decision from the parent company to open a branch in the Kingdom of Bahrain

Transfer of ownership

In the event of transferring from a sole proprietorship to an existing company, or to become a branch of an existing company:

  • A transfer decision by the owner of the sole proprietorship
  • The company owner’s decision / the partners’ meeting minutes / the shareholders’ decision
  • Draft amendment of the memorandum of association / articles of association / declaration of incorporation of the company
  • Draft declaration of assignment of a commercial store

In the event of transferring from a company to a new sole proprietorship:

  • The company owner’s decision / the partners’ meeting minutes / the shareholders’ decision to transfer
  • No-objection letter to the new owner of the sole proprietorship if they are an employee in the private sector
  • Draft declaration of assignment of shares or commercial premises



New Agency Registration

  • Official power of attorney if the applicant is a non-related party.
  • Agency agreement between the Bahraini agent and the principal contains the above information.
  • Authorization letter if the applicant is one of the professional bodies registered at the Ministry of Industry and Commerce or if the applicant is one of the employees registered under the commercial registration.
  • Copy of chamber of commerce membership card registered by the agent’s name.
  • Trademark report issued by the trademark department in the Ministry of Industry and Commerce.

  • A notarized power of attorney if the applicant is an unrelated party to the Commercial Registration holder, or an unnotarized power of attorney if the applicant is a professional office or an authorized employee registered on the same registration
  • A decision from the company owner / meeting minutes of partners / a decision from shareholders to add or change the group’s trade name
  • Draft of an amendment to the memorandum of association/articles of association/association endorsement related to amending the article on trade name



Change the trade name (commercial company)

  • A decision from the company owner / meeting minutes of partners / a decision from shareholders to change the trade name of the first branch, or the decision of the board of directors or a manager to change the trade name of one of the company’s branches
  • Draft amendment of the memorandum of association / articles of association / declaration of incorporation related to the amendment of the article of the trade name, in the event that the trade name is amended for the first branch only
  • A notarized power of attorney if the applicant is an unrelated party to the Commercial Registration holder, or an unnotarized power of attorney if the applicant is a professional office or an authorized employee registered on the same registration



Application for a new Commercial Registration without a license (commercial company)

  • Attested copy of Commercial Registration (Optional at this stage) **
  • Letter of authorization in case applicant is one of the Professional bodies registered at Ministry of industry and commerce or (submitted by one of the staff who is registered in the corporate partner if the partner or the owner is a corporate partner)
  • Official power of attorney if the applicant is a non- related party or no document is submitted if the applicant is one of the partners.
  • Passport copy of partners/authorized persons/ Board of Directors.
  • Board resolution for BSC & BSC (closed) or partners resolution for WLL approving the incorporation of the company in Bahrain (if not provided at the commercial registration issuance stage) *

  • No objection Letter from the work place if the partner/authorized person/ board director is a private sector employee at the time of application submission.
  • Note: Public sector employees are not allowed to establish commercial companies, however they may own shares in joint-stock companies (public and closed) and /or limited liability companies without assuming any administrative positions in them.
